Paid Subscription Terms

Welcome to Slotted! These Paid Subscription Terms("Terms") govern your purchase and use of the subscription services provided by Slotted, Inc. ("Slotted," "we," "us," or "our"). By purchasing or using a Paid Subscription, you agree to be bound by these Terms.

1. About Slotted
Slotted is a collaborative Request for Proposal (RFP) tool that allows brands and providers to find and evaluate one another. Our service enables providers to connect with brands efficiently and respond to RFPs seamlessly.
2. Subscription Fees
Providers subscription will be comprised of the following components:
- Monthly Access Fee: This is the access to RFP opportunities on the platform with an unlimited number of users
- Location Fee: This is a monthly charge assessed for each location profile associated with the Provider.
These prices will be available on the website and we reserve the right to adjust these prices at our sole discretion. Any changes to existing subscriptions will be communicated with at least 30 days notice to existing subscribers.
All fees are exclusive of applicable taxes which are added at checkout. Subscriptions are prepaid via credit card and renew automatically every 30 days unless you pause or cancel the subscription.
Slotted reserves the right to adjust pricing models, including performance-based fees, with 30 days’ notice to users. Slotted reserves the right to modify its subscription plans, pricing structures, or feature offerings at any time with notice to subscribers.
3. Cancellation
Users with admin permissions can pause or cancel their subscription at any time in their account settings. There is no notice period required for cancellation. No refunds are given for voluntary cancellations; access will continue until the end of the current billing cycle. If Slotted discontinues your subscription without cause before the end of your billing cycle, a prorated refund may be issued.
4. Award Fee
In addition to the monthly subscription fees, Providers agree to pay an "Award Fee" for business they win through Slotted. The Award Fee amount for a specific RFP is displayed to the Provider before submitting their RFP response to the Brand. Submitting an RFP response constitutes acceptance of the Award Fee for that deal.
The Award Fee is calculated dynamically on a deal-by-deal basis and Providers have two options they may choose from:
- Flat Fee Option: 1.5% of the estimated one-year value of the business, invoiced on net 60-day terms upon the brand starting shipments.
- True-Up Option: 1% of actual fulfillment fees billed monthly for the first 24 months. Providers must report monthly billings and remit the Award Fee to Slotted each month.
Note: Award Fees apply exclusively to fulfillment fees and exclude parcel revenue.
Providers select the award fee option on an RFP by RFP basis before they submit their proposals.
If the Brand chooses not to move forward after making a selection, and does not begin business operations with the Provider, the award fee will be waived. Slotted reserves the right to invoice the Award Fee to the Provider in the event that a Brand awards business to the Provider within Slotted, ceases the engagement before moving in at the initial date and then returns to that provider within a 12-Month period.
Disputing an Award Fee
Providers can dispute an Award Fee within 15 days of invoicing by submitting a written request with supporting evidence. Slotted will review disputes and make a final determination based on platform activity logs and engagement records. If no dispute is raised within 15 days, the Award Fee is final. Slotted has the sole right to determine if an Award Fee applies based on platform activity logs.
5. Referral Program
Each provider in Slotted is assigned a custom referral code which is visible in each users Dashboard view. Brands signing up on Slotted may enter a provider’s custom referral code at account creation. If a brand is new to Slotted and uses a referral code, they will be considered referred by the provider associated with that code. Only one provider may be credited as the referrer per brand.
If the new referred brand initiates an RFP within 90 days of account creation:
- If the referring provider wins: No Award Fee is charged.
- If another provider wins: The referring provider receives 25% of the Award Fee paid by the winning provider. Payment is made within 30 days after Slotted receives funds associated with the Award Fee.
Slotted may assign a referral relationship later if no referral code was used at signup.
6. Circumvention
Circumvention includes directly or indirectly contacting or negotiating with any lead introduced via Slotted outside the platform to avoid associated fees. Circumvention will result in a lifetime ban and a monetary penalty equal to the greater of $50,000 or double the Award Fee. Bans of the User or Provider will be made at Slotted’s sole discretion.
7. Changes to Pricing and Terms
We may change our subscription fees or these Terms from time to time. Existing subscribers will be notified via email at least 30 days prior to any changes taking effect. Continued use of the Service after the effective date constitutes acceptance of the new fees or Terms.
